Terms of Use
Last updated: September 30, 2026
1. Definitions
For the purposes of these Terms of Use, the following terms have the meanings below:
- TupiCart — trade name of the hosted checkout platform operated by FLOWBORDER LLC, a company incorporated in the United States of America.
- Merchant — an individual or legal entity that signs up to the TupiCart platform to process payments in their store or business.
- Buyer — the end consumer who makes a purchase through a TupiCart checkout.
- Payment Gateway — third-party providers integrated with the platform (e.g., Stripe, Adyen, Airwallex, PayPal, Mercado Pago), responsible for authorizing and settling transactions.
- Platform — the set of services, APIs, interfaces and infrastructure provided by TupiCart.
- Transaction — any payment operation initiated and processed by TupiCart on behalf of the Merchant.
2. Acceptance of the Terms
By signing up for, accessing or using any feature of the TupiCart Platform, the Merchant declares that they have read, understood and agreed to these Terms of Use and to the Privacy Policy.
If the Merchant does not agree with any provision herein, they must refrain from using the Platform.
TupiCart reserves the right to update these Terms at any time. Material changes will be communicated by email or by notice on the Platform at least 10 (ten) days in advance. Continued use after the notice constitutes acceptance of the new conditions.
3. Description of the Services
TupiCart offers a hosted checkout platform that allows the Merchant to:
- Publish a checkout on their own domain (e.g.,
checkout.yourstore.com); - Connect multiple payment gateways and operate smart transaction routing;
- Integrate with e-commerce platforms (Shopify, WooCommerce, Wix, Nuvemshop, Yampi, among others);
- Access a unified dashboard with conversion, approval and chargeback analytics.
TupiCart acts as a technology intermediary between the Merchant and the Payment Gateways. The financial settlement of sales is carried out directly by the gateways contracted by the Merchant, not by TupiCart.
4. Registration and Account
4.1 Requirements
To use the Platform, the Merchant must: (i) be at least 18 years old or the legal representative of a legal entity; (ii) provide true, complete and up-to-date information; (iii) keep their access credentials confidential.
4.2 Account responsibility
The Merchant is solely responsible for all actions performed with their access credentials. In case of unauthorized use, they must notify TupiCart immediately at suporte@tupicart.com.
4.3 Verification
TupiCart may request additional documents to verify the Merchant's identity and the legal compliance of the business, as required by partner payment gateways (e.g., Stripe KYC).
5. Merchant Obligations
By using the Platform, the Merchant agrees to:
- Operate only lawful businesses, in compliance with the laws of the country of operation;
- Not use the Platform to process payments for prohibited activities (see Section 6);
- Keep their registration data up to date, including banking and tax information;
- Ensure that Buyers are informed, before purchase, of prices, product descriptions, delivery times and the cancellation/refund policy;
- Fully comply with the Terms of Use of the payment gateways they use together with TupiCart;
- Not reproduce, copy, sell, resell or exploit any part of the Platform without TupiCart's express authorization;
- Not reverse engineer, decompile or attempt to extract the Platform's source code.
6. Prohibited Activities
Using the Platform to process payments related to the following is expressly forbidden:
- Illegal gambling or unregulated betting;
- Unlicensed adult content;
- Regulated products or services without the proper license (firearms, controlled medicines, etc.);
- Pyramid schemes, Ponzi schemes or any financial fraud;
- Infringement of intellectual property rights;
- Any activity that violates applicable national or international laws.
TupiCart reserves the right to immediately suspend any account that, at its discretion, violates these prohibitions.
7. Fees and Payment
7.1 Plans
TupiCart offers plans as described on the pricing page of the official website. Fees may be changed with 30 (thirty) days' prior notice.
7.2 Billing
TupiCart fees are charged per approved transaction or via subscription, depending on the chosen plan. Fees charged directly by payment gateways are excluded and are the sole responsibility of the Merchant.
7.3 Non-payment
Failure to pay the fees due may result in suspension or cancellation of the account, at TupiCart's discretion, after 5 (five) business days' prior notice.
8. TupiCart Responsibilities
8.1 Availability
TupiCart will use its best efforts to keep the Platform available 24/7, with a target uptime of 99.99% per month. In case of scheduled maintenance, the Merchant will be notified in advance.
8.2 Security
TupiCart adopts appropriate technical and organizational measures to protect data transmitted through the Platform, including TLS encryption, tokenization of payment data and continuous monitoring.
8.3 Support
TupiCart offers email support (suporte@tupicart.com) during the hours defined in each contracted plan.
9. Limitation of Liability
To the maximum extent permitted by applicable law, TupiCart shall not be liable for:
- Losses arising from failures of third-party payment gateways;
- Chargebacks, disputes or refunds initiated by Buyers with the gateways;
- Indirect damages, lost profits, data loss or reputational damage suffered by the Merchant;
- Interruptions caused by force majeure, cyberattacks (DDoS, etc.) or third-party infrastructure failures (AWS, Cloudflare, etc.);
- Errors or omissions in the information provided by the Merchant when setting up products, prices or checkout configurations.
TupiCart's total liability to the Merchant, under any circumstances, is limited to the amount paid by the Merchant to the Platform in the 3 (three) months preceding the event that gave rise to the damage.
10. Intellectual Property
All rights to the TupiCart Platform — including software, brand, logo, design, texts and documentation — belong exclusively to FLOWBORDER LLC.
The Merchant receives a limited, non-exclusive, non-transferable and revocable license to use the Platform solely for the purposes set forth in these Terms.
11. Termination
11.1 By the Merchant
The Merchant may cancel their account at any time through the account settings on the Platform or by sending a request to suporte@tupicart.com. Cancellation does not entitle the Merchant to a pro-rata refund of amounts already paid.
11.2 By TupiCart
TupiCart may suspend or terminate the Merchant's account, with or without prior notice, in the following cases: (i) breach of these Terms; (ii) suspected fraud or unlawful use; (iii) request from a competent authority; (iv) non-payment after notice.
12. General Provisions
12.1 Governing law
These Terms are governed by the laws applicable to FLOWBORDER LLC. For Merchants established in Brazil, the Brazilian Consumer Protection Code (Law 8,078/1990) and the General Data Protection Law (Law 13,709/2018 — LGPD) also apply, where applicable.
12.2 Jurisdiction
For the resolution of any disputes arising from these Terms, the parties elect arbitration or the courts of the Merchant's domicile, as chosen by the parties.
12.3 Entire agreement
These Terms, together with the Privacy Policy, constitute the entire agreement between the parties and supersede any prior understandings on the same subject.
